At ProInvoice, a division of Fronesyz Technologies Limited (“Company”, “we”, “our” or “us”), the security and privacy of our users is of great importance to us. We have created this Privacy Policy in order to set out how we collect, use, and disclose personal information when you use our products and services or when you visit our website.

The Data Privacy, Protection & Cookie Notice (also known as “Privacy Policy”) are subject to Terms of Service. To continue using our services as a User, you must accept our Terms of Service, agree to our Data Privacy, Protection & Cookie Policy which provide you with information on how we collect, process, use, and protect your data.

This Privacy Policy explains:
‘User’ or ‘you’ as any individual that creates an account on the ProInvoice platform and completes the onboarding process.

‘Personal Information’ as any information that identifies you, or could reasonably identify you as an individual which may include your name, online identifier address, email address, phone number, and other unique identifiers.

‘Process/Processing’ as any operation or set of operations which is performed on your Personal Data or sets of Personal Data, whether or not by automated means, such as collection, recording, organisation, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction.

‘Data Protection Law/s’ as applicable and binding laws to which ProInvoice, and User is a subject to in the field of personal data protection and privacy especially GDPR.

This Data Privacy, Protection and Cookie Notice (“Privacy Policy”) describes your privacy rights in respect of ProInvoice (hereinafter referred to as “Company, “we”, “us” or “our”) collection, use, storage, sharing and protection of your personal information. It applies to our website and all related sites, applications, services, and tools regardless of how you access or use them. This Notice covers our website, and any webpage contained in the domain name, including any page that is enabled for use by a mobile device as operated and controlled by ProInvoice. This Notice covers information collected at our website and may also apply to the information that we collect via our software, but only if specifically stated at the time of collection or if the information is combined in our databases.


The sole purpose of this Notice is to give you information on how ProInvoice collects, uses, discloses, and processes your personal data including personal information when you access, register or use our website or software to avail the services that we offer. It will help you understand how we use your information and what we do with it. Please, kindly note that this Notice does not apply to services that are not owned or controlled by ProInvoice, including third-party websites and the services of our Users. Our goal is to handle personal data provided to us in compliance with the Nigeria Data Protection Regulation, 2019, and other applicable data privacy and protection laws. This Privacy Notice applies to all forms of systems, operations, and processes within the ProInvoice environment that involve the collection, storage, use, transmission and disposal of Personal Data and Information.

We respect the privacy of our online visitors and registered users (“Users”); as such we will take reasonable steps to protect your information.

These advanced features, solutions and services can be used by any individual, business and representatives of a business or organization. Customers can access the services via the website or software provided, send professional invoice to clients, and receive payments seamlessly.

This Notice is intended to set certain standards across the operations of ProInvoice.

Personal Information: We collect your contact and personal information that you voluntarily provide to us when you sign up for a ProInvoice account, reach out to us to enquire about our products and services, and when you update this information from time to time such as your name, email address, and phone number.

We use your Personal Information to:

  • Enable your secure access to our services and products;
  • Identity you as a contractual party or representative of a contractual party to us;
  • Respond to any feedback, queries or complaints which includes notifications, messages, reminders, and any other form of communication within the services and otherwise;
  • Improve features, website content and analyse data to develop, improve and optimize the products and services. address inappropriate use of our website;
  • Prevent, detect and manage risk against fraud and illegal activities using internal and third-party screening tools;
  • Send you marketing, surveys, rewards, advertising, referral programs, contests, and promotional messages and information that might be interesting to you about our product and services. However, you may decide to unsubscribe from these messages at anytime;
  • Maintain a trusted and safe record of our services and to prevent any actual fraud, gross misconduct or any other harmful activity, investigation, and risk management.

Most of the personal data we process is collected directly from the User through several means which are highlighted below;

 

Subscription & transactional Information: We collect transactional and subscription information, such as information about your subscription (whether annual or monthly) and collection of invoice payments.

Information collected from social media: We may also receive information when you interact with us on social media sites (e.g., Facebook, Instagram, LinkedIn, Twitter, etc). This includes, but is not limited to your replies to our posts, your comments, likes, enquiries, messages to us, etc. We may also collect information from your public profile and updates on social media.

Information automatically collected: We may automatically collect some information when you visit, use or navigate our products and services through your computer, mobile phones, and other access devices. This information is solely needed to maintain the security and operation of our services, and also for reporting and analytical purposes.

Third Parties: We may also receive your information from third parties such as, guardians, identity verification services, vendors, affiliate marketers and service providers etc. We will not sell, trade, or in any way transfer to third parties your personal information. However, visitor’s information may be provided to other parties for marketing, advertising, or other uses.

Feedback, Promotions & Surveys: We collect information about you when you choose to participate in surveys, rewards, promotions, referrals, webinars, contests, giveaways, or other ProInvoice marketing or when you provide your feedback about our product or services, or when you fill a form on our website.

How we process your data

We will keep your personal information as long as you are a customer of ProInvoice. We may also keep your personal information if you decide to stop being a customer of ProInvoice. We may do this because of the following reasons below:

  • To establish, exercise or defend our legal claims.
  • To use the personal data for analytical purposes as part of our own research which is not likely to cause any harm to your data privacy, and protection rights.
  • To comply with legal rules that apply to us about keeping records or information in which case we will retain your data for a minimum of six years after your account has been terminated or longer depending on domestic laws.

We may also keep your data if certain laws that ProInvoice is subject to stipulate that we cannot delete it for legal, regulatory, or technical reasons.

How we Protect your Information

ProInvoice shall establish adequate controls in order to protect the integrity and confidentiality of Personal Information, both in digital and physical format and to prevent Personal Information from being accidentally or deliberately compromised. ProInvoice is committed to managing your Personal Information in line with global industry best practices. We protect your Personal Information using physical, technical, and administrative security measures to reduce the risks of loss, misuse, unauthorized access, disclosure and alteration. We also use industry recommended security protocols to safeguard your Personal Information. Other security safeguards include, but are not limited to data encryption, firewalls, and physical access controls to our building and files and only granting access to Personal Information to only employees who require it to fulfil their job responsibilities. Any Personal Information processing undertaken by an employee who has not been authorized to carry such out as part of their legitimate duties is unauthorized.

Employees may have access to Personal Information only as is appropriate for the type and scope of the task in question and are forbidden to use Personal Information for their own private or commercial purposes or to disclose them to unauthorized persons, or to make them available in any other way.

How we share your Personal Information

ProInvoice does not sell, trade or rent personal information to anyone. However, to enable us render our services to you on our website, we may share your information with trusted third parties. Such third parties include merchants that you shop with, financial institutions, payment processors verification services, sanctions screening and identity verification services, as well as any third parties that you have directly authorized to receive your Personal Information. Your Personal Information may be stored in locations outside the direct control of ProInvoice, for instance, on servers or databases co-located with hosting providers. We may disclose your Personal Information in compliance with applicable law or a legal obligation to which we are bound.

Please, note that Users you receive invoices from or contract with have their privacy policies, and although our Terms of Service does not allow the other transacting party to use your information for anything other than as authorized by you, ProInvoice is not responsible for their actions, including their information protection practices.

The use of your information by such third party will be subject to their applicable Notice, which you should carefully review.

Third Party Processor

We may engage the services of third parties in order to process the Personal Information of Data Subjects collected by us. The processing by such third parties shall be governed by a written contract with ProInvoicee to ensure adequate protection and security measures are put in place by the third party for the protection of Personal Information in accordance with the terms of this Notice.

Transfer of Personal Information

Where Personal Information is to be transferred to a country outside of where the Information is currently domiciled, ProInvoice shall put adequate measures in place to ensure the security of such Personal Information. Transfer of Personal Information will be in accordance with the provisions of relevant laws. We will therefore only transfer Personal Information on one of the following conditions:

  • The consent of the Data Subject has been obtained.
  • The transfer is necessary for the performance of a contract between ProInvoice and the Data Subject or implementation of pre-contractual measures taken at the Data Subject’s request.
  • The transfer is necessary to conclude a contract between ProInvoice and a third party in the interest of the Data Subject.
  • The transfer is necessary for reasons of public interest.
  • The transfer is for the establishment, exercise or defence of legal claims.
  • The transfer is necessary in order to protect the vital interests of the Data Subjects or other persons, where the Data Subject is physically or legally incapable of giving consent.

 

We will take all necessary steps to ensure that Personal Data or Information is transmitted in a safe and secure manner. Details of the protection given when your Personal Information is transferred shall be provided to you upon request.

Grounds for Processing of Personal Information

Processing of Personal Information by ProInvoice shall be lawful if at least one of the following applies:

  • The Data Subject has given consent to the processing of his/her Personal Information for one or more specific purposes.
  • The processing is necessary for the performance of a contract to which the Data Subject is a party or in order to take steps at the request of the Data Subject prior to entering into a contract.
  • Processing is necessary for compliance with a legal obligation to which ProInvoice is subject.
  • Processing is necessary in order to protect the vital interests of the Data Subject or of another natural person; and
  • Processing is necessary for the performance of a task carried out in the public interest or in exercise of official public mandate vested in ProInvoice.

Your rights

Individuals who have Personal Information held by ProInvoice are entitled to reach out to us to exercise the following rights:

  • Right to request for and access their Personal Information collected and stored. Where data is held electronically in a structured form, such as in a Database, the Data Subject has a right to receive that data in a common electronic format.
  • Right to information on their personal information collected and stored.
  • Right to objection or request for restriction.
  • Right to object to automated decision making.
  • Right to request rectification and modification of Personal Information that we store.
  • Right to request for deletion of their data.
  • Right to request the movement of data from ProInvoice to a third party; this is the right to the portability of data; and
  • Right to object to, and to request that ProInvoice restricts the processing of their information.
  • Right to object to, and to request that ProInvoice restricts the processing of their information.

 

Your request will be reviewed by our Data Protection Officer and carried out except as restricted by law or statutory obligations. You may decline to provide your personal Information when it is requested, however, certain services or all the services may be unavailable to you should you decline to provide your Personal Information when it is requested. You may review your account settings and update your Personal Information directly or by contacting us.

The Data that we Retain

We will retain your information for as long as your account is active or as needed to provide our services to you, comply with our legal and statutory obligations or verify your information with a financial institution. ProInvoice is statutorily obligated to retain the data you provide us with in order to process Invoices, ensure invoice delivery, invoice payments and in compliance with laws and regulatory guidelines applicable to us, our payment integrators. Therefore, even after closing your ProInvoice account, we will retain certain Personal Information and transaction data to comply with these obligations. All Personal Information shall be destroyed by ProInvoice where possible. For all Personal Data and records obtained, used and stored by ProInvoice, we shall perform periodic reviews of the data retained to confirm the accuracy, purpose, validity and requirement to retain.

The length of storage of Personal Information shall, amongst other things, be determined by:

  • The contract terms agreed between ProInvoice and the Data Subject or as long as it is needed for the purpose for which it was obtained; or
  • Whether the transaction or relationship has statutory implication or a required retention period; or
  • Whether there is an express request for deletion of Personal Data by the Data Subject, provided that such request will only be treated where the Data Subject is not under any investigation which may require us to retain such Personal Data or there is no subsisting contractual arrangement with the Data Subject that would require the processing of the Personal Data; or
  • Whether ProInvoice has another lawful basis for retaining that information beyond the period for which it is necessary to serve the original purpose.

Data Protection Officer

The Data Protection Officer in accordance with applicable data protection laws is ProInvoice (hereinafter together “ProInvoice”, “we”, “us” or “our”). ProInvoice is responsible for ensuring that processing of personal data complies with this Privacy Policy and applicable data protection legislation. The solutions ProInvoice provides (including the free invoice template and the software) will be referred to as our “Service”.
